Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Hijaaz Latheef Corp., a corporation organized under the laws of the State of Texas, with its principal office at 8500 Shoal Creek Blvd, Suite 4C, Austin, TX 78757 ("Hijaaz Latheef," "we," "us," or "our").

By accessing or using the Hijaaz Latheef platform, website (hijaazlatheef.com), APIs, or any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Acceptable Use Policy.

2. Service Description

Hijaaz Latheef provides a business-to-business ("B2B") software-as-a-service platform designed for property management firms, commercial landlords, and facility operators. The Service enables clients to:

  • Manage and automate transactional tenant communications (payment confirmations, maintenance updates, lease alerts)
  • Orchestrate maintenance work order workflows with vendor coordination
  • Track lease lifecycles including renewals, expirations, and compliance events
  • Monitor facility conditions and schedule inspections with automated notifications

The Service is not an email marketing platform. All communications facilitated through Hijaaz Latheef are strictly transactional and triggered by real events within the property management workflow.

3. Eligibility & Access

The Service is available exclusively to businesses and organizations engaged in lawful property management or related operations. By using the Service, you represent and warrant that:

  • You are at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organization
  • Your organization is a legally registered entity in good standing
  • You will use the Service only for its intended purpose — managing property-related transactional communications
  • All information you provide during registration is accurate, current, and complete

4. Client Obligations

As a Client of the Service, you agree to:

  • Maintain the security of your account credentials and promptly notify us of any unauthorized access
  • Ensure that all tenant and recipient data imported into the platform was collected lawfully and with proper consent
  • Comply with all applicable laws, including but not limited to CAN-SPAM, GDPR, CCPA, and CASL
  • Use the notification system only for legitimate transactional communications — never for unsolicited marketing
  • Promptly honor tenant notification preference changes and opt-out requests for optional notification categories
  • Keep your contact information and billing details current at all times

5. Prohibited Uses

The following activities are strictly prohibited on the Hijaaz Latheef platform:

  • Spam: Sending unsolicited bulk email, marketing messages, or promotional content of any kind
  • Purchased or rented lists: Importing recipient lists obtained from third-party data brokers
  • Cold outreach: Contacting individuals who do not have an existing relationship with your organization
  • Malware or phishing: Distributing malicious software, deceptive links, or fraudulent content
  • Illegal content: Transmitting any material that violates local, state, federal, or international law
  • Impersonation: Misrepresenting your identity, organization, or the purpose of your communications
  • System abuse: Attempting to circumvent rate limits, security controls, or access restrictions
  • Competing services: Using the platform to build a competing product or reverse-engineer our technology

Violation of these prohibitions may result in immediate account suspension or termination, as described in Section 13.

6. Fees & Payment

Service fees are based on the pricing plan selected during registration and are billed monthly or annually, as agreed. Unless otherwise specified:

  • All fees are quoted in US Dollars and are exclusive of applicable taxes
  • Payment is due within 30 days of invoice date
  • Late payments may incur a service charge of 1.5% per month on the outstanding balance
  • We reserve the right to adjust pricing with 60 days' written notice prior to your next billing cycle
  • No refunds will be issued for partial months of service or unused notification volume

7. Intellectual Property

All intellectual property rights in the Service — including software, algorithms, designs, documentation, trademarks, and service marks — are and shall remain the exclusive property of Hijaaz Latheef Corp. These Terms do not transfer any ownership rights to you.

You retain all rights to the data you upload to the platform. By uploading data, you grant us a limited, non-exclusive license to process that data solely for the purpose of delivering the Service.

8. Confidentiality

Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party except as necessary to perform obligations under these Terms. Confidential Information includes, without limitation, business plans, pricing, technical data, tenant information, and any materials marked as confidential.

This obligation shall survive termination of these Terms for a period of three (3) years.

9. Data Protection

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Key commitments include:

  • Data processed in accordance with GDPR, CCPA, and applicable data protection regulations
  • We do not sell, rent, or share personal data with third parties for marketing purposes
  • Sub-processors are vetted and bound by data processing agreements
  • Data breach notification within 72 hours as required by GDPR

10. Service Availability & SLA

We commit to maintaining platform availability of 99.9% measured on a monthly basis, excluding scheduled maintenance windows. Our SLA commitments include:

  • Scheduled maintenance: Performed during low-traffic hours (Sundays 02:00–06:00 UTC) with 72 hours' advance notice
  • Incident response: Critical incidents acknowledged within 30 minutes; resolution target within 4 hours
  • Service credits: Clients are eligible for pro-rata credits if monthly uptime falls below 99.9%

Force majeure events — including natural disasters, cyberattacks, and government actions — are excluded from uptime calculations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Hijaaz Latheef Corp. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hijaaz Latheef Corp., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of:

  • Your violation of these Terms or any applicable law
  • Your use of the Service in a manner not authorized by these Terms
  • Any data you import into the platform that infringes the rights of a third party
  • Any communications sent through the Service that constitute spam or violate anti-spam regulations

13. Termination

Either party may terminate these Terms:

  • For convenience: With 30 days' written notice to the other party
  • For cause: Immediately upon written notice if the other party materially breaches these Terms and fails to cure within 15 days of receiving notice

We may suspend or terminate your account immediately and without notice if:

  • Your account is associated with spam, phishing, or other prohibited activities
  • Complaint rates exceed 0.1% or bounce rates exceed 5%
  • You fail to pay fees within 60 days of the invoice date

Upon termination, your access to the Service will cease, and we will delete your data within 90 days unless retention is required by law. You may request a data export prior to termination.

14. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.

Any dispute arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Each party waives the right to participate in a class action lawsuit or class-wide arbitration.
